Bodhi Rein is a strategic business consulting practice registered and operating in Thailand, with offices at 36 Sarasin Road, Lumpini, Bangkok 10330. References to "Bodhi Rein", "we", "us", or "our" throughout these terms refer to this entity.

3. Consulting Services

Engagement agreements

All consulting engagements are governed by a written engagement letter or service agreement signed by both parties. These Terms and Conditions form part of the general framework for any such engagement, supplemented by the specific terms set out in each agreement. In the event of any conflict, the signed engagement letter takes precedence.

Scope of services

We provide services as described in the relevant engagement documentation. Our consulting work is advisory in nature. Bodhi Rein provides structured frameworks, facilitated workshops, and expert input to support your organization's decision-making. Responsibility for implementing recommendations and the outcomes of any decisions made on the basis of our work remains with your organization.

Descriptions of services, timelines, and indicative pricing on this website are provided for general guidance only and do not constitute a binding offer. Final scope and pricing are confirmed in writing prior to engagement commencement.

4. Fees and Payment

Fees are as agreed in each signed engagement letter. Unless otherwise stated:

• All fees are quoted and payable in Thai Baht (THB)
• Payment terms are set out in the engagement letter, typically 50% upon engagement commencement and 50% upon delivery of final deliverables
• Invoices are due within 14 days of issue unless otherwise agreed
• Late payments may be subject to a reasonable interest charge, as specified in the engagement letter

5. Confidentiality

We treat all client information with strict confidentiality. Information shared with us during an engagement — including organizational strategy, personnel matters, financial data, and proprietary business information — is used solely for the purpose of delivering the agreed services and is not disclosed to third parties without your consent, except as required by law.

In turn, we ask that our methodologies, frameworks, workshop materials, and deliverable templates remain confidential. These may be used within your organization but are not to be shared externally or reproduced commercially without our consent.

Formal non-disclosure terms, where required, are set out in the engagement letter.

6. Intellectual Property

Our materials

All content on this website — including text, structure, graphics, and methodological frameworks — is the intellectual property of Bodhi Rein or used under license. Nothing on this website transfers any intellectual property rights to you.

Deliverables

Upon full payment, clients receive a license to use deliverables produced under a signed engagement (such as risk registers, employer brand guidelines, or venture portfolios) for internal organizational purposes. Underlying methodologies, frameworks, and templates used to produce deliverables remain the property of Bodhi Rein. Unless otherwise agreed in writing, clients may not sublicense or distribute deliverables commercially.

7. Limitation of Liability

Our consulting work is advisory. We make no representations that the outcomes of implementing our recommendations will meet specific financial, operational, or strategic targets. Our liability to any client in connection with an engagement is limited to the fees paid under that specific engagement, except in cases of gross negligence or willful misconduct.

We are not liable for indirect, consequential, or incidental losses — including loss of revenue, loss of opportunity, or reputational impact — arising from the use of or reliance on our advice.

Nothing in these terms limits our liability for fraud or for death or personal injury caused by our negligence.

8. Termination of Engagements

Either party may terminate a consulting engagement with written notice as specified in the engagement letter. In the event of early termination:

• Fees for work completed to the date of termination will be payable
• Any retainer or advance payment for work not yet commenced may be refunded on a pro-rated basis, subject to the terms of the engagement letter
• Confidentiality and intellectual property obligations survive termination

9. Website Availability

We make reasonable efforts to keep this website available and up to date, but we do not warrant uninterrupted access. We may modify, suspend, or withdraw the website at any time without notice. We are not liable for any inconvenience or loss resulting from website unavailability.

11. Governing Law

We may update these Terms and Conditions periodically. Changes take effect when posted to this page, with the updated date shown at the top. For existing engagements, the version in effect at the time of signing the engagement letter will apply unless both parties agree in writing to adopt updated terms.
